Terms of Service

1. Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

2. Your account

• You are responsible for keeping your login credentials secure and for all activity that occurs under your account.
• You must provide accurate information when creating an account and keep it up to date.
• Notify us promptly at support@nerdcal.com of any unauthorized use of your account.

3. Your content

You retain all rights to the content you create or upload to the Service ("Your Content"). You grant nerdcal a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and process Your Content solely for the purpose of operating and improving the Service for you, including syncing with connected integrations you authorize and passing relevant context to AI providers when you use AI features.

You are responsible for Your Content and for ensuring you have the right to submit it. We may remove content that violates these Terms or applicable law.

4. Acceptable use

You agree not to:

• Use the Service to violate any law or infringe anyone's rights;
• Upload malware, harmful code, or content that is unlawful, abusive, harassing, defamatory, or obscene;
• Attempt to access the Service in ways we have not authorized, reverse engineer non-open-source components, or disrupt or overload our infrastructure;
• Use automated means to scrape or extract data beyond what the Service makes available via normal use or a documented API;
• Use the Service or AI features to generate content that violates third-party rights or that is used to build a competing product.

5. Third-party integrations

The Service may connect to third-party services such as Google Calendar or AI providers. Your use of those services is subject to their own terms and policies. nerdcal is not responsible for third-party services or for any changes they make to their APIs, terms, or availability.

6. AI features

AI features generate output using large language models. Output may be inaccurate, incomplete, or inappropriate for your situation. Do not rely on AI output for professional advice (legal, medical, financial, etc.) and verify important information independently. You are responsible for how you use AI-generated output.

7. Plans, beta features, and changes

The Service or parts of it may be offered free of charge, as a paid plan, or as a beta or preview feature. Beta features are provided "as is" and may change or be discontinued at any time. We may add, change, or remove features of the Service at our discretion.

8. Fees and billing

If you purchase a paid plan, you agree to pay the applicable fees. Fees are billed in advance and are non-refundable except where required by law. We may change pricing with reasonable notice; changes will apply to the next billing cycle.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination will continue to apply.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NERDCAL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $50.

12. Indemnification

You agree to indemnify and hold harmless nerdcal from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, Your Content, or your violation of these Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of Oregon, USA, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Deschutes County, Oregon, and you consent to personal jurisdiction there. Nothing in this section limits any rights you have under mandatory consumer protection laws in your place of residence.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by other reasonable means. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
